Welcome to PostifyHQ.

These Terms of Service (“Terms”) govern your access to and use of the PostifyHQ website, platform, applications, APIs, integrations and related services (collectively, the “Service”).

By creating an account, purchasing a subscription, connecting a social media account, accessing the Service, or otherwise using PostifyHQ, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service.

1. About PostifyHQ

PostifyHQ is a social media management, content creation, scheduling, automation and publishing platform.

Depending on your plan and available features, PostifyHQ may allow you to:

• connect supported social media accounts;

• create and edit social media content;

• generate or improve content using artificial intelligence;

• upload and manage images, videos and other media;

• create drafts;

• schedule posts;

• publish content;

• manage publishing queues;

• perform bulk publishing;

• create automated publishing workflows;

• use RSS feed automation;

• manage multiple brands, clients or workspaces;

• collaborate with team members;

• access account and publishing analytics;

• use API keys, webhooks or other automation tools;

• manage connected accounts and groups; and

• use other functionality made available by PostifyHQ.

Features may vary according to your selected plan, connected social network, geographic location and third-party platform availability.

2. Eligibility

You may use PostifyHQ only if:

• you are legally capable of entering into a binding agreement;

• you meet the minimum age required to use the Service under applicable law;

• you are not prohibited from using the Service under applicable law; and

• your use of the Service complies with the terms of any social media platform you connect.

If you use PostifyHQ on behalf of a company, organization, client or other legal entity, you represent that you have authority to bind that entity to these Terms.

In such circumstances, references to “you” and “your” include that entity.

3. Account Registration

Certain PostifyHQ features require an account.

You agree to:

• provide accurate registration information;

• maintain accurate account information;

• keep your login credentials secure;

• prevent unauthorized access to your account;

• promptly inform us if you suspect unauthorized access; and

• accept responsibility for activities performed through your account where permitted by law.

You must not:

• share account credentials with unauthorized persons;

• create accounts using false identities;

• impersonate another person or organization;

• use another user's account without authorization; or

• circumvent account, subscription or usage restrictions.

PostifyHQ may require additional account verification where reasonably necessary for security or fraud prevention.

4. Connected Social Media Accounts

PostifyHQ allows you to connect accounts from supported third-party services, which may include:

• Facebook;

• Instagram;

• LinkedIn;

• X;

• TikTok; and

• other platforms added from time to time.

You may connect only accounts that you own or are properly authorized to manage.

By connecting a social media account, you authorize PostifyHQ to perform actions that you request and that are permitted by the relevant platform, such as:

• accessing authorized account information;

• retrieving available Pages or profiles;

• uploading media;

• creating posts;

• scheduling posts;

• publishing posts;

• retrieving publishing status;

• accessing authorized analytics; and

• performing other supported actions.

You remain responsible for ensuring that you have authority to use every connected account.

5. Third-Party Platform Terms

Your use of Facebook, Instagram, LinkedIn, X, TikTok or any other third-party platform remains subject to that platform's own:

• terms of service;

• developer policies;

• community standards;

• advertising policies;

• API rules;

• automation policies; and

• other requirements.

PostifyHQ does not control these third-party platforms.

You are responsible for ensuring that content and activity conducted through PostifyHQ complies with the rules of each applicable platform.

A feature available within PostifyHQ should not be interpreted as permission to use that feature in a manner prohibited by a third-party platform.

6. Third-Party Platform Availability

Social media platforms may change their:

• APIs;

• authentication systems;

• permissions;

• publishing requirements;

• rate limits;

• supported post formats;

• review procedures;

• functionality; or

• developer policies

at any time.

Such changes may cause some PostifyHQ functionality to be changed, restricted, interrupted or discontinued.

PostifyHQ does not guarantee that any third-party integration will remain continuously available.

We are not responsible for outages, restrictions, rejected posts, account restrictions or functionality changes caused by third-party platforms outside our reasonable control.

7. Authorization to Publish

When you create, schedule or approve content for publication through PostifyHQ, you authorize us to transmit that content and associated instructions to the relevant social media platform on your behalf.

You are solely responsible for:

• selecting the correct social media account;

• reviewing content before scheduling or publishing;

• confirming scheduled dates and times;

• ensuring media files are appropriate;

• confirming links;

• verifying hashtags, mentions and tags;

• obtaining necessary permissions;

• ensuring compliance with applicable law; and

• ensuring compliance with platform rules.

PostifyHQ acts on the publishing instructions submitted through your account.

8. Scheduled Publishing Is Not Guaranteed

We make reasonable efforts to execute scheduled publishing instructions at the requested time.

However, exact or successful publication cannot be guaranteed.

Publication may fail or be delayed because of circumstances including:

• third-party API outages;

• Internet disruptions;

• expired access tokens;

• disconnected social accounts;

• changed account permissions;

• platform rate limits;

• rejected media formats;

• third-party platform restrictions;

• deleted or suspended social accounts;

• temporary maintenance;

• infrastructure failures;

• user configuration errors; or

• events outside our reasonable control.

You should monitor important or time-sensitive posts and confirm successful publication.

PostifyHQ is not responsible for losses resulting solely from a failed or delayed publication where such failure resulted from circumstances outside our reasonable control.

9. Your Content

You retain ownership of content that you create, upload, import, store or submit through PostifyHQ (“User Content”).

This may include:

• captions;

• photographs;

• videos;

• graphics;

• logos;

• documents;

• links;

• drafts;

• prompts;

• campaigns;

• brand materials; and

• other media or information.

PostifyHQ does not claim ownership of your User Content.

10. Licence to Process Your Content

You grant PostifyHQ a limited, non-exclusive, worldwide licence to host, store, copy, process, transmit, modify where technically necessary and display User Content solely as reasonably necessary to:

• provide the Service;

• create previews;

• process media;

• generate requested AI results;

• schedule content;

• publish content;

• create backups;

• provide collaboration functionality;

• troubleshoot the Service; and

• fulfil your instructions.

This licence exists only for the purposes of operating and providing the Service and ends when the relevant content is deleted, subject to reasonable backup retention and legal requirements.

You retain all other rights in your User Content.

11. Responsibility for User Content

You represent and warrant that:

• you own your User Content or have permission to use it;

• your User Content does not unlawfully infringe another person's rights;

• you have obtained any permissions necessary to publish it;

• publishing the content will not violate applicable law; and

• publishing it will not violate applicable third-party platform rules.

PostifyHQ is not responsible for determining whether your content infringes intellectual property, privacy, publicity or other rights.

12. Artificial Intelligence Features

PostifyHQ may provide AI-assisted functionality including tools for:

• captions;

• rewrites;

• content ideas;

• images;

• videos;

• campaign creation;

• content repurposing;

• content review;

• recommendations;

• planning;

• trend analysis; and

• other automated features.

AI-generated output may contain errors, inaccuracies, inappropriate suggestions, outdated information or material similar to content generated for other users.

You are responsible for reviewing AI-generated content before using or publishing it.

PostifyHQ does not guarantee that AI-generated output will be:

• accurate;

• original;

• unique;

• factually correct;

• legally compliant;

• free from third-party rights;

• appropriate for your audience; or

• suitable for any particular purpose.

You should apply human review before publishing AI-generated content.

13. AI Output and Intellectual Property

To the extent permitted by applicable law and subject to third-party rights, PostifyHQ does not claim ownership of AI output generated specifically in response to your prompts.

However, because AI systems can generate similar or identical output for different users, PostifyHQ cannot guarantee exclusivity or ownership rights in any AI-generated material.

You are responsible for determining whether AI-generated content is suitable for commercial use.

14. Acceptable Use

You may use PostifyHQ only for lawful purposes.

You must not use PostifyHQ to:

• violate applicable laws or regulations;

• engage in fraud or deceptive activity;

• impersonate another person or organization;

• publish unlawful content;

• harass, threaten or abuse others;

• promote violence or unlawful discrimination;

• distribute malware or malicious software;

• conduct phishing attacks;

• steal credentials;

• infringe copyrights, trademarks or other intellectual property;

• unlawfully disclose private or confidential information;

• distribute unsolicited spam in violation of applicable rules;

• manipulate social engagement unlawfully;

• operate fake-account networks;

• bypass social platform safeguards;

• evade platform enforcement actions;

• circumvent platform rate limits;

• obtain unauthorized access to accounts;

• scrape or collect information without required authorization;

• interfere with PostifyHQ systems;

• probe or test system vulnerabilities without written authorization;

• interfere with other users' use of the Service;

• reverse engineer the Service except where expressly permitted by law;

• circumvent subscription limits;

• abuse API keys or webhooks;

• resell unauthorized access to the Service; or

• use PostifyHQ in any manner reasonably likely to cause damage to PostifyHQ, its infrastructure, its users or a third-party platform.

15. Spam and Platform Abuse

PostifyHQ is intended to help legitimate users, businesses, creators and organizations manage social media activity.

You must not use PostifyHQ to conduct:

• abusive mass posting;

• coordinated spam;

• prohibited automated engagement;

• fake engagement schemes;

• fraudulent account creation;

• misleading account impersonation; or

• activity prohibited by connected social networks.

We may limit, suspend or terminate accounts that create material security, legal, reputational or platform-compliance risks.

16. Workspaces, Teams and Agencies

Certain plans may permit multiple users, clients, brands, teams or workspaces.

If you invite another person into your workspace:

• you are responsible for assigning appropriate permissions;

• you must have authority to provide them access to relevant content and social accounts;

• activities performed by authorized team members may be treated as activities performed on behalf of the workspace owner; and

• you are responsible for removing access when it is no longer appropriate.

If you operate PostifyHQ on behalf of clients, you are responsible for obtaining appropriate authorization from those clients.

17. API Keys, Webhooks and Automation

Certain PostifyHQ plans may provide API keys, webhooks or automation functionality.

You are responsible for:

• protecting API credentials;

• limiting access to authorized persons;

• securing receiving webhook endpoints;

• monitoring automated activity; and

• complying with documented usage limits.

You must not intentionally use API or automation functionality to bypass subscription, security or platform restrictions.

We may revoke API credentials or restrict automation where necessary to protect the Service.

18. Proxies and External Connections

Where PostifyHQ permits configuration of proxies or other external connections, you are responsible for ensuring that:

• you have authority to use the connection;

• use of the connection is lawful;

• it does not violate third-party terms;

• credentials are lawfully obtained; and

• the connection is appropriately secured.

PostifyHQ is not responsible for third-party proxy services selected or configured by users.

19. Subscriptions and Paid Plans

PostifyHQ may offer:

• monthly subscriptions;

• yearly subscriptions;

• lifetime plans;

• free trials;

• promotional plans; and

• other paid or free offerings.

Available features, limits, storage, team members, connected channels, AI usage, publishing limits and other allowances depend on the plan selected.

Current pricing and plan details are displayed on the PostifyHQ website or within the Service.

We may introduce, modify or discontinue plans in accordance with these Terms and applicable law.

20. Subscription Billing

When you purchase a recurring subscription, you authorize PostifyHQ or its payment processor to charge the applicable subscription fees and taxes using your selected payment method.

Unless otherwise stated at checkout:

• monthly subscriptions are billed monthly;

• yearly subscriptions are billed yearly; and

• recurring plans automatically renew until cancelled.

You are responsible for keeping your billing information current.

If payment fails, we may:

• retry payment;

• restrict paid features;

• downgrade the account;

• suspend access; or

• terminate the subscription.

21. Free Trials

PostifyHQ may offer free trials for certain plans.

Trial duration and included functionality may vary.

Unless expressly stated otherwise during signup, a trial associated with a paid subscription may convert to the selected paid plan when the trial expires if valid payment authorization has been provided.

You may cancel before conversion in accordance with the cancellation options available through your account.

We may modify, limit or withdraw promotional trials at any time, subject to applicable law.

We may restrict repeated or abusive use of free trials.

22. Lifetime Plans

PostifyHQ may offer plans described as “Lifetime” access.

For purposes of these Terms, “Lifetime” means access to the applicable PostifyHQ plan for the commercial operating lifetime of the PostifyHQ Service or applicable product offering, not the lifetime of the purchaser or any individual.

A Lifetime plan:

• is not a guarantee that PostifyHQ will operate indefinitely;

• does not guarantee that every current feature will remain available permanently;

• does not automatically include future products, modules or services unless expressly stated;

• remains subject to reasonable usage, security and acceptable-use restrictions; and

• may be affected by third-party platforms discontinuing APIs or features.

Where third-party integrations become unavailable, PostifyHQ is not required to recreate functionality that a third party no longer permits.

23. Plan Limits and “Unlimited” Features

Some plans may describe specific features as “unlimited.”

“Unlimited” means that PostifyHQ does not impose the standard numerical limit applicable to lower plans for that particular feature.

It does not mean unrestricted or abusive use.

Unlimited features remain subject to:

• fair use;

• technical capacity;

• security controls;

• third-party platform limits;

• API limits;

• acceptable-use requirements; and

• measures reasonably necessary to protect platform stability.

We may restrict extraordinary or abusive activity that materially affects other users or the security or availability of the Service.

24. Pricing Changes

PostifyHQ may change subscription prices from time to time.

Where reasonably required, changes to recurring subscription pricing will apply from a future billing period rather than retroactively.

We may provide notice of material pricing changes before they apply to an existing recurring subscription.

Changes to pricing do not affect fees already paid for a completed billing period.

25. Taxes and Currency

Prices may be displayed in U.S. dollars or other currencies.

You are responsible for taxes, duties, levies or other governmental charges applicable to your purchase, except taxes imposed directly on PostifyHQ's income.

Your bank, card issuer or payment provider may charge:

• currency conversion fees;

• international transaction fees; or

• other processing charges.

Such charges are determined by the relevant financial institution and are not controlled by PostifyHQ.

26. Cancellations

You may cancel a recurring subscription using available account settings or by contacting PostifyHQ support where an account-based cancellation method is unavailable.

Cancellation prevents future renewal charges.

Unless otherwise required by applicable law or expressly stated, cancellation does not automatically result in a refund for an already-paid billing period.

You may generally retain access to paid functionality until the end of the paid subscription period unless your account is terminated for serious misuse.

27. Refunds

Unless otherwise stated in a specific offer, checkout page or written refund policy, payments are non-refundable to the extent permitted by applicable law.

Nothing in these Terms limits any mandatory refund, cancellation or consumer rights that cannot lawfully be excluded.

28. Credits and Usage Allowances

Certain features may use credits, quotas or other usage allowances.

Credits:

• may be tied to a specific subscription;

• may expire at the end of a billing period;

• may not carry forward unless expressly stated;

• have no cash value;

• cannot ordinarily be transferred; and

• may be subject to feature-specific usage rules.

Where AI or third-party services incur variable costs, PostifyHQ may reasonably adjust credit requirements for future use.

29. Media Storage

Plans may include different storage limits.

You are responsible for retaining independent copies of important files.

PostifyHQ should not be treated as your sole archival or backup system.

We may delete files after account deletion, subscription termination or expiration of applicable retention periods as described in our Privacy Policy.

30. Intellectual Property Rights

Except for User Content, PostifyHQ and its licensors retain all rights, title and interest in the Service, including:

• software;

• source code;

• interface designs;

• databases;

• logos;

• branding;

• graphics;

• website content;

• documentation;

• proprietary workflows;

• platform architecture; and

• related intellectual property.

These Terms do not transfer ownership of PostifyHQ intellectual property to you.

31. Limited Right to Use PostifyHQ

Subject to these Terms and payment of applicable fees, PostifyHQ grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for its intended purposes.

You may not copy, sublicense, resell, reproduce, modify or commercially exploit the underlying PostifyHQ software except where expressly authorized.

Agency customers may use PostifyHQ to provide legitimate social media services to their clients where their plan permits such use.

32. Copyright and Intellectual Property Complaints

If you believe content hosted or processed through PostifyHQ infringes your intellectual property rights, contact:

Your notice should provide sufficient information to:

• identify the protected work;

• identify the allegedly infringing material;

• explain your rights;

• provide contact information; and

• enable us to investigate the complaint.

We may remove or restrict access to material where appropriate.

33. Privacy

Your use of PostifyHQ is also governed by our Privacy Policy, available at:

The Privacy Policy explains how PostifyHQ collects, processes, stores, shares and deletes personal information and social platform data.

By using the Service, you acknowledge our Privacy Policy.

34. Data Deletion and Social Account Disconnection

You may disconnect supported social media accounts through available PostifyHQ settings.

You may also revoke PostifyHQ access through the relevant social media platform.

35. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability.

PostifyHQ may occasionally be unavailable because of:

• maintenance;

• upgrades;

• security updates;

• infrastructure incidents;

• software errors;

• network interruptions;

• third-party service failures;

• social media platform outages; or

• circumstances outside our reasonable control.

We may modify technical infrastructure or Service components where reasonably necessary.

36. Changes to Features

PostifyHQ develops continuously.

We may:

• add features;

• modify features;

• replace features;

• impose reasonable usage restrictions;

• discontinue obsolete features; or

• change integrations.

We will make reasonable efforts to avoid materially reducing paid functionality during an already-paid subscription period without legitimate operational, security, legal or third-party platform reasons.

37. Beta and Experimental Features

PostifyHQ may make beta, preview, experimental or early-access functionality available.

Such features may:

• contain bugs;

• change substantially;

• perform unpredictably; or

• be discontinued.

Beta features are provided on an “as available” basis and should not be relied upon for critical operations unless specifically stated otherwise.

38. User Support

Support availability and response priority may depend on your plan.

PostifyHQ does not guarantee resolution of every issue within a specific period unless an applicable written service-level agreement expressly states otherwise.

39. Account Suspension

We may temporarily restrict or suspend access where we reasonably believe it is necessary because of:

• suspected fraud;

• security threats;

• unauthorized account access;

• non-payment;

• serious violation of these Terms;

• platform abuse;

• unlawful activity;

• excessive technical abuse;

• violation of third-party platform requirements; or

• conduct that materially threatens PostifyHQ or its users.

Where reasonably appropriate, we may provide an opportunity to resolve the issue before permanent termination.

40. Account Termination

You may stop using PostifyHQ at any time.

We may terminate an account where:

• there is a material violation of these Terms;

• unlawful activity is conducted through the account;

• payment obligations remain unresolved;

• the account presents a material security risk;

• repeated platform abuse occurs;

• required third-party authorization is revoked; or

• continued provision of the Service is no longer legally or technically possible.

Upon termination, your right to use the Service ends.

Provisions that by their nature should survive termination will remain effective, including provisions regarding ownership, payment obligations, disclaimers, indemnification and limitations of liability.

41. Effect of Account Deletion

Deleting your PostifyHQ account does not automatically remove content that has already been published to third-party social networks.

Published content is controlled by the applicable social network and may need to be deleted directly through that platform.

Account information retained by PostifyHQ after deletion will be handled according to our Privacy Policy and applicable law.

42. Disclaimer of Warranties

To the fullest extent permitted by applicable law, PostifyHQ is provided on an “as is” and “as available” basis.

We do not warrant that:

• the Service will always be uninterrupted;

• every scheduled post will publish successfully;

• all features will remain unchanged;

• third-party integrations will always be available;

• analytics will always be complete;

• AI-generated content will be accurate;

• content will achieve particular engagement or business results;

• errors will never occur; or

• the Service will meet every user's specific requirements.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

43. No Guarantee of Social Media Results

PostifyHQ provides software and tools for social media operations.

We do not guarantee:

• follower growth;

• engagement levels;

• leads;

• sales;

• reach;

• impressions;

• conversions;

• revenue;

• virality;

• account verification;

• advertising results; or

• any other business outcome.

Results depend on factors outside PostifyHQ's control.

44. Third-Party Account Enforcement

PostifyHQ does not control the decisions of third-party platforms regarding:

• account suspensions;

• content removals;

• publishing restrictions;

• reduced reach;

• account verification;

• API permissions;

• advertising restrictions; or

• enforcement actions.

You remain responsible for complying with each platform's rules.

PostifyHQ is not liable solely because a third-party platform restricts or terminates an account or removes content.

45. Limitation of Liability

To the fullest extent permitted by applicable law, PostifyHQ and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from your use of the Service.

This includes, where legally permitted, loss arising from:

• lost profits;

• lost revenue;

• lost business opportunities;

• lost data;

• failed publications;

• delayed publications;

• social account restrictions;

• third-party outages;

• AI-generated content;

• unauthorized access caused by your failure to secure credentials; or

• loss of reputation.

To the fullest extent permitted by applicable law, PostifyHQ's aggregate liability arising from the Service will not exceed the amount you paid to PostifyHQ for the Service during the 12 months immediately preceding the event giving rise to the claim.

Where applicable law does not permit a particular limitation, that limitation applies only to the maximum extent permitted.

46. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless PostifyHQ and its owners, employees, contractors and service providers from claims, damages, liabilities, losses and reasonable costs arising from:

• your User Content;

• your violation of these Terms;

• your unlawful use of the Service;

• your violation of another person's rights;

• your misuse of connected social accounts;

• your breach of third-party platform rules; or

• activity conducted by persons you authorized to use your account.

This provision does not apply to the extent a claim results directly from PostifyHQ's own unlawful conduct.

47. Force Majeure

PostifyHQ will not be responsible for failure or delay caused by events beyond our reasonable control, including:

• natural disasters;

• power outages;

• Internet outages;

• telecommunications failures;

• cyberattacks;

• government actions;

• war;

• civil unrest;

• epidemics;

• strikes;

• cloud infrastructure failures;

• third-party platform outages; or

• changes to external APIs.

48. Changes to These Terms

We may update these Terms periodically to reflect:

• changes to the Service;

• new features;

• pricing or subscription changes;

• legal requirements;

• security requirements;

• third-party platform requirements; or

• operational changes.

When material changes are made, we may provide notice through the Service, by email or by updating the Last Updated date.

Where required by applicable law, material changes will take effect only after appropriate notice.

Continued use of the Service after revised Terms become effective constitutes acceptance of those revised Terms where legally permitted.

49. Electronic Communications

By using PostifyHQ, you agree that we may send you electronic communications relating to:

• your account;

• security;

• billing;

• subscriptions;

• connected accounts;

• Service changes;

• legal notices; and

• support matters.

Transactional and legally required communications are different from optional marketing communications.

50. Assignment

You may not transfer your rights or obligations under these Terms without our written consent.

PostifyHQ may transfer these Terms in connection with a merger, acquisition, restructuring, financing or transfer of the Service or substantially all relevant business assets, subject to applicable law.

51. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

52. No Waiver

Failure by PostifyHQ to enforce a provision of these Terms does not constitute a waiver of that provision or any other rights.

53. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular PostifyHQ feature or paid service, constitute the agreement between you and PostifyHQ concerning your use of the Service.

They replace prior agreements or representations concerning the same subject matter, except where a separate written agreement expressly states otherwise.
